Welcome to SOXY. These Terms of Service ("Terms") govern your use of the SOXY mobile application and related services (the "App"), operated by Zak Smith ("Zak Smith," "we," "us," or "our"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
SOXY is intended for use by adults — coaches, team administrators, parents, and guardians — to organize and communicate within sports teams. You must be at least 13 years old to create an account. If you are between 13 and 18, you may only use the App with the involvement and consent of a parent or guardian. Where a minor participates on a team, their account and participation should be created and managed by a parent, guardian, or authorized adult. We do not knowingly allow children under 13 to create accounts without verifiable parental consent.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate information when registering, and keep it up to date. Notify us promptly of any unauthorized use. You may delete your account at any time from within the App.
The App lets you and other members post content — including messages, photos, videos, polls, events, and other materials ("User Content"). You retain ownership of the User Content you create.
By posting User Content, you grant Zak Smith a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content solely for the purpose of operating and providing the App to you and your team. This license ends when you delete your User Content or your account, except where the content has been shared with others who have not deleted it, or where we are required to retain it by law.
You represent that you own or have the necessary rights to the User Content you post, and that it does not violate the rights of any third party or any applicable law.
You agree not to use the App to post, share, or transmit content that:
You also agree not to attempt to gain unauthorized access to the App, other accounts, or our systems, or to use the App for any purpose other than its intended team-communication and coordination function.
There is no tolerance for objectionable content or abusive users on SOXY. We provide tools and processes to keep the community safe, including:
Team administrators may also remove content and members within their own teams. We reserve the right, but are not obligated, to monitor, remove, or restrict any content or account at our discretion to protect users and comply with these Terms.
You may stop using the App and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the App or its users. Upon termination, your right to use the App ends, though certain provisions of these Terms survive.
The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that content posted by users is accurate or appropriate. You use the App at your own risk.
To the fullest extent permitted by law, Zak Smith will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising from your use of the App or any User Content. Our total liability for any claim relating to the App will not exceed the amount you paid us, if any, in the twelve months before the claim.
You agree to indemnify and hold harmless Zak Smith from any claims, damages, or expenses arising out of your User Content, your use of the App, or your violation of these Terms or the rights of any third party.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the App. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law principles, except where prohibited by applicable local law.
